ContextEd Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of ContextEd (the "Service"), operated by Seriki Favour Fisayo, sole proprietor ("ContextEd," "we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

If you're under 18, a parent or legal guardian must confirm consent before your account can be used, as described in our Privacy Policy. This isn't just a data protection formality — as a minor, you generally can't be bound by a contract like these Terms without your guardian's involvement, so this step is what makes your use of the Service valid in the first place.


2. The Service

ContextEd is a platform that helps you prepare for dated exams — including WAEC, JAMB, and other goals you set — by turning materials you upload into a structured study plan, providing an AI tutor ("Jules") to work through that plan with you, and tracking your progress toward mastery of each topic.


3. Your account

You need an account to use most of the Service. You agree to:

  • Provide accurate information when you sign up and keep it up to date.
  • Keep your login credentials confidential and be responsible for activity under your account.
  • Use one account per person — accounts aren't shared or transferable.

Tell us right away if you suspect unauthorized access to your account.


4. Subscriptions, billing, and auto-renewal

ContextEd offers a free tier and paid tiers (Pro subscriptions and Exam Packs). Paid tiers are billed in USD via Paddle (most countries) or NGN via Paystack (Nigeria), depending on your market.

Auto-renewal: Pro subscriptions renew automatically at the end of each billing period (monthly or annual, depending on your plan) unless you cancel before the renewal date. We charge the payment method on file at the then-current price for your plan. For annual subscriptions, we'll send a reminder email ahead of your renewal date.

Cancellation: you can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing period — you keep access until then, and we don't prorate refunds for the unused portion of a period, except as described in our Refund Policy.

Exam Packs are a one-time purchase, scoped to a single study goal, valid for 90 days from purchase — they don't auto-renew.

Failed payments: if a Pro renewal payment fails, we'll retry it over the following days. If it continues to fail, your account reverts to the free tier at the end of the retry window — you don't lose access to your data, just paid-tier features.

Price changes: we'll notify you before any price change takes effect for your next billing cycle; continuing to use a paid tier after that point means you accept the new price.


5. Refunds

Refunds are available within a limited window after your first charge — the specific windows and process are set out in our Refund Policy, which forms part of these Terms. Renewal charges after that window are non-refundable except where required by law.


6. Payment processing

Global purchases (Paddle): Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Nigeria purchases (Paystack): Paystack processes your payment on our behalf as our payment processor. Unlike Paddle, ContextEd — not Paystack — remains the seller of record for these transactions.

Neither Paddle nor Paystack shares your full card details with us — see our Privacy Policy for how payment data is handled.


7. Your content

You retain ownership of the materials you upload and the content you create using the Service (your Learning Contracts, notes, quiz answers, and similar). By uploading or creating content, you grant us a limited license to store, process, and use that content solely to provide the Service to you — including sending it to our AI providers so Jules can tutor you against it. We don't use your content to train our own models or anyone else's general-purpose models.

You're responsible for making sure you have the right to upload the materials you use with the Service — for example, course materials you're personally licensed or permitted to use for study purposes.


8. Our content and intellectual property

The Service itself — including the ContextEd platform, the Jules tutor, our branding, and our software — is owned by ContextEd and protected by applicable intellectual property law. These Terms give you a limited, non-exclusive, non-transferable license to use the Service for your personal study purposes. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service itself.


9. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in a way that violates the rights of others.
  • Attempt to access another user's account or data without authorization.
  • Scrape, reverse-engineer, or attempt to extract the Service's underlying models or systems.
  • Use the Service to assist you during an actual live or timed examination — ContextEd is a study and preparation tool, not an exam-time aid, and using it that way likely violates the rules of the exam body you're sitting for.
  • Upload content that infringes someone else's rights or that you don't have permission to use.
  • Interfere with or disrupt the Service's infrastructure or attempt to bypass rate limits or usage restrictions.

We may suspend or terminate accounts that violate this section.


10. AI-generated content

Jules and other parts of the Service use AI to generate study plans, explanations, quiz questions, and feedback. AI-generated content can be incomplete or contain mistakes. ContextEd is a study aid, not a substitute for your own judgment, your teachers, or official exam-body materials — you're responsible for verifying anything important before relying on it, and we don't guarantee any particular exam score, grade, or admission outcome from using the Service.


11. Termination

You can stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, or where required by law. If your account is terminated, Section 6 of our Privacy Policy governs what happens to your data.


12. Disclaimers

The Service is provided "as is" and "as available." We don't guarantee the Service will be uninterrupted, error-free, or that it will meet your specific expectations. We don't guarantee any exam result, grade, admission outcome, or certification from using the Service — your results depend on many factors outside our control, including your own effort and the exam itself.


13. Limitation of liability

To the maximum extent permitted by law, ContextEd isn't liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that can't be limited under applicable law.


14. Indemnification

You agree to indemnify and hold ContextEd harmless from claims arising out of your misuse of the Service or your violation of these Terms, to the extent permitted by law.


15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any statutory rights you have under the law of your own country of residence. If a dispute arises, we'll try to resolve it informally first by contacting us (Section 18) — if that doesn't work, disputes are subject to the exclusive jurisdiction of the courts of Nigeria, unless applicable law in your country gives you the right to bring a claim in your local courts instead.


16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or an in-app notice before the changes take effect. Continuing to use the Service after that point means you accept the updated Terms.


17. General

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and ContextEd regarding the Service. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign your rights under these Terms without our consent.
